Code Ownership & Licensing Policy

1. Overview

At Neulux Technologies (“Company,” “we,” or “us”), we strive to clarify the ownership and licensing arrangements for any software or code we develop. This policy applies to all custom code, as well as any open-source or third-party components integrated into our work.

2. Ownership Transfer

Full Payment Condition:
Ownership of any custom-developed code, designs, or deliverables transfers to the client upon receipt of full payment for the project, as agreed in the relevant contract or invoice.

Proprietary Modules:
If our solution includes proprietary modules or libraries developed and owned exclusively by Neulux Technologies, such components remain our intellectual property. In such cases, we grant the client a license to use these modules without transferring ownership of our proprietary IP.

3. License Grant

Scope of License:
Unless otherwise specified, we provide our clients with a perpetual, worldwide, non-exclusive, royalty-free license to use, modify, and distribute the custom code for their own business purposes.

Restrictions on Transfer:
This license does not permit the unauthorized resale or relicensing of the entire codebase to third parties without our explicit written consent (see Section 5).

4. Use of Open-Source Components

Acknowledgment:
Our projects may incorporate open-source components governed by their respective licenses (e.g., MIT, GPL).

Client Obligations:
By using the code, you agree to comply with the license terms of any included open-source libraries, including maintaining copyright notices or providing source code as required.

5. Restrictions

Reselling & Authorship:
Clients may not resell or claim sole authorship of the entire codebase originally produced by Neulux Technologies.

Code Reuse:
We reserve the right to reuse generic code snippets, libraries, or tools in future projects, provided they do not contain confidential client data or proprietary elements unique to the client’s project.

6. Maintenance & Updates

Support Options:
Ongoing maintenance, updates, or feature enhancements are available through separate service agreements or support plans.

Ownership of Modifications:
If we perform updates or modifications after the initial delivery, ownership of those modifications follows the same transfer principles described in Section 2. Updates incorporating new proprietary modules remain our property.

7. Liability & Indemnification

Client Responsibility:
Once ownership is transferred or licensed to the client, the client assumes responsibility for how the code is used, deployed, or integrated with other systems.

Disclaimer:
Neulux Technologies is not liable for any damages, losses, or legal disputes arising from misuse, unauthorized modifications, or third-party claims related to the client’s use of the code.

8. Dispute Resolution

Jurisdiction & Governing Law:
This policy shall be governed by and construed in accordance with the laws of the State of Delaware. Any disputes will be subject to the exclusive jurisdiction of the state or federal courts located in Delaware, unless otherwise required by applicable law.

Alternative Methods:
We reserve the right to require binding arbitration or mediation for dispute resolution, as stipulated in our general Terms of Service or project-specific contracts.
